Wholesale Terms & Conditions

These Wholesale Terms & Conditions govern the B2B relationship between Habib Alruh and approved trade partners ("Stockists"). They are separate from our retail Terms & Conditions and are governed by UAE law.

Eligibility & approval

Wholesale pricing is available only to businesses approved by Habib Alruh. We may request trade licence and business details and reserve the right to approve or decline any application.

Minimum order quantities (MOQ)

Each pricing tier has a minimum order quantity that must be met for that tier's pricing to apply. Orders below the applicable MOQ may be re-priced or declined.

Pricing & changes

Wholesale prices are confirmed at the time of each order. We will give Stockists at least 30 days' written notice of any change to standard wholesale pricing.

Payment terms

Standard terms are payment in advance for new accounts. Net 30 / Net 60 terms may be offered to approved accounts at our discretion. Late payment may result in suspension of terms.

Reseller restrictions

• Stockists may resell only through channels agreed with us in writing.
• Resale on third-party marketplaces (e.g. Amazon UAE, Noon) requires our prior written approval.
• Stockists must not misrepresent the brand and must display our Inspired Scents Disclaimer where required.

Delivery, title & risk

Title passes on full payment; risk passes on delivery. Delivery timelines are agreed per order.

Termination

Either party may terminate the wholesale relationship on written notice. Outstanding invoices remain payable.

Liability, governing law & disputes

Liability is limited to the extent permitted by UAE law. These terms are governed by the federal laws of the United Arab Emirates and subject to the jurisdiction of the Dubai Courts. The parties will seek to resolve disputes amicably before pursuing formal proceedings.
